Job Title: Privacy and Commercial Transactions Attorney

Position Summary: We are seeking an attorney with 4 to 7 years of privacy and data security experience with an Amlaw 100 or 200 firm or an equivalent international firm to join our team. This is an excellent opportunity for an attorney looking to advance their career in a supportive and innovative firm. Our team is dispersed throughout the country and we have no in-office expectation for team members (nor centralized office locations), so you have the flexibility to work remotely as and where you desire.
Key Responsibilities:
Advise clients on privacy and cybersecurity compliance and risk mitigation at the state, federal, international, and industry specific levels – e.g., CCPA/CPRA (and other various state privacy laws), GDPR, the EU AI Act, HIPAA, GLBA, consumer protection, and similar state laws and regulations.
Draft, review and revise privacy policies and data processing agreements.
Draft and negotiate data privacy, data sharing, and information security provisions in technology contracts and other business transactions, for both vendors and customers.
Provide legal advice to the business, including to information security team, to ensure practices with regard to personal information of customers and employees comply with applicable domestic and international information security and privacy laws and regulations.
Advise on privacy-related technology issues, including the use of cookies, Ad-Tech, social media, Internet-of-things devices and mobile applications in compliance with applicable laws and regulations.
Conduct privacy risk assessments and/or privacy impact assessments, analyze results to recommend mitigation and remediation activities, as appropriate, ensuring compliance with laws and internal standards.
Draft data protection and data transfer agreements for use with clients and vendors, including internal usage guidelines.
Conduct research, track, report, and provide advice and guidance on existing and emerging privacy laws and regulations.
Provide subject matter support on M&A transactions, including data privacy and cybersecurity due diligence and drafting and negotiating privacy and security representation and warranties.
Conduct privacy and security due diligence, prepare disclosure schedules.
Work closely with other team members and specialists on large-scale transactions.
Qualifications:
Juris Doctor (JD) degree from a top tier law school.
Admission to the bar in the state where the attorney is located (or intends to be located).
Minimum of 4 full years of data privacy compliance and transactional experience at Amlaw 100/200 firm or equivalent international law firm or comparable in-house counsel position.
Minimum four years of experience advising clients regarding privacy and data protection laws (GDPR, UK GDPR, CCPA, state data security laws, marketing and advertising rules, etc.)
CIPP/US, CIPP/E, CPIM or other recognized privacy certification preferred.
Interest or experience in artificial intelligence privacy regulations such as the EU AI Act is a plus.
Proven ability to manage multiple projects with tight deadlines.
Strong analytical, drafting, and negotiation skills.
Excellent (verbal and written) communication and interpersonal skills; adept at communicating complex issues concisely and effectively with attorneys and clients.
Entrepreneurial mindset with a proactive, business-minded approach to legal representation and client service.
Possess strong sense of ownership over projects and proactively look for ways to improve processes.
Ability to work both independently and as part of a team; well organized and self-motivated.
What We Offer:
Competitive salary and benefits package. $160,000-$200,000 annual salary, determined based on experience. Annual billable hour target of 1,400 hours. Bonus eligibility begins at 1,300 billable hours.
