Job Title: Corporate Transactional Attorney

Position Summary: We are seeking an attorney with 4 to 7 years of corporate transactional experience (Mergers & Acquisitions, ECVC and general counsel type advising) with a national or international firm to join our team. This is an excellent opportunity for an attorney looking to advance their career in a supportive and innovative firm. Our team is dispersed throughout the country and we have no in-office expectation for team members (nor centralized office locations), so you have the flexibility to work remotely as and where you desire.
Key Responsibilities:
Draft, edit and review contracts and related documents for a broad range of corporate transactional matters including formations, early-stage/venture capital equity financings, credit finance, joint ventures, private equity transactions, and mergers and acquisitions. Work will vary and be on both buy and sell-side, investor and company-side.
Negotiate complex agreements and contracts.
Conduct due diligence, prepare disclosure schedules, manage capitalization tables.
Advise on corporate governance matters; provide comprehensive legal advice to clients; prepare board and stockholder consents and certificates.
Collaborate with clients to ensure that corporate agreements implement strategic business initiatives.
Work closely with other team members and specialists on large-scale transactions.
Qualifications:
Juris Doctor (JD) degree from a top tier law school.
Admission to the bar in the state where the attorney is located (or intends to be located).
Minimum of 4 full years of corporate transactional experience at a national or international law firm.
Proven ability to manage multiple projects with tight deadlines.
Strong analytical, drafting, and negotiation skills.
Excellent (verbal and written) communication and interpersonal skills; adept at communicating complex issues concisely and effectively with attorneys and clients.
Entrepreneurial mindset with a proactive, business-minded approach to legal representation and client service.
Possess strong sense of ownership over projects and proactively look for ways to improve processes.
Ability to work both independently and as part of a team; well organized and self-motivated.
What We Offer:
Competitive salary and benefits package. $160,000-$200,000 annual salary, determined based on experience. Annual billable hour target of 1,400 hours. Bonus eligibility begins at 1,300 billable hours.
